1. Acceptance of Terms
These Terms of Service are an agreement between you and Athean LLC, a Florida limited liability company ("Athean", "we", "us"), the operator of Cerebro. By using Cerebro ("the Software"), you agree to these Terms of Service. If you do not agree, do not use the Software.
2. Service Description
Cerebro is a personal AI operations platform that runs locally on your machine. It is proprietary software made available through a paid Pro subscription, which provides the desktop companion app, visual explorer, mind tab, unlimited agents, full autonomy, analytics, and priority support.
3. Subscriptions and Billing
Pro is a paid subscription billed monthly or annually through Stripe. All prices are in USD. You may cancel at any time through the billing portal — your access continues until the end of the current billing period. No refunds are issued for partial billing periods.
4. Requirements
Cerebro requires the Claude Code CLI and an active Claude subscription (Pro, Max, or Team — any tier works). The Claude Code CLI is operated by Anthropic under its own terms and pricing. Cerebro is independent of Anthropic and is not endorsed by them.
5. License
The Cerebro software is licensed, not sold. Your subscription grants you a personal, non-transferable license to use the Software while your subscription is active. You may not copy, redistribute, or sublicense the Software. The standalone Cerebro memory MCP server is published separately under its own open-source license, and your use of it is governed by the terms of that license.
6. AI Output Disclaimer
Cerebro enhances AI capabilities but does not control AI model outputs. AI-generated content may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing and using AI outputs. We provide no warranty on the accuracy, reliability, or fitness of AI-generated content for any purpose.
7. Acceptable Use
You agree not to:
- Redistribute activation codes or share subscriptions
- Reverse-engineer the activation or licensing system
- Use Cerebro for any unlawful purpose
- Attempt to circumvent usage limits or access controls
8. Limitation of Liability
To the maximum extent permitted by law, Athean LLC, its members, and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Software.
9. Governing Law
These terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute arising from these terms or your use of the Software shall be resolved in the state or federal courts located in Broward County, Florida.
10. Changes to Terms
We may update these terms from time to time. Continued use of Cerebro after changes constitutes acceptance of the new terms. Material changes will be communicated via the website or application.
